1. Introduction and Acceptance of Terms

1.1 These Terms of Service ("Terms") constitute a legally binding agreement between you and Mdadda Staffing Limited ("Mdadda"), governing your access to and use of the Mdadda platform, including its mobile applications, websites, and related services (collectively, the "Platform").

1.2 These Terms of Service constitute a legally binding agreement between Mdadda Staffing Limited and any person accessing or using the Platform.

1.3 By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and all policies incorporated herein.

1.4 These Terms apply to all Users across jurisdictions where the Platform is accessible, subject to applicable law.

1.5 If you do not agree to these Terms, you must immediately cease use of the Platform.

2. Definitions

2.1 For purposes of these Terms:

2.2 "Platform" means the Mdadda mobile application, website, and associated digital infrastructure used to provide training, certification, and marketplace services.

2.3 "User" means any individual or entity accessing or using the Platform.

2.4 "Helper" means a domestic worker registered on the Platform seeking training, certification, networking opportunities with other Helpers and Platform users, or employment and engagement opportunities through the Marketplace, whether or not actively enrolled in an Academy course at any given time.

2.5 "Household" means an individual or family using the Platform to identify and engage domestic workers.

2.6 "Agent" means a domestic placement agency or intermediary registered on the Platform to facilitate placements between Helpers and Households.

2.7 "Academy" means the training and certification component of the Platform offering educational content, courses, and examinations.

2.8 "Services" means all services provided through the Platform including training, certification, job matching, and related services.

2.9 "Books of Business" means all data, records, user profiles, and information relating to helpers, households, and any other users or prospective users that are created, uploaded, accessed, or otherwise made available through the platform, including contact details, preferences, engagement history, transaction records, and any associated data, insights, or analytics, and shall form part of the platform's data ecosystem regardless of the party that initially provided such information.

2.10 Definitions shall apply equally in singular and plural and be interpreted broadly.

3. Scope of Services

3.1 Mdadda provides a technology driven platform that enables Helpers to access self directed professional development content, earn Mdadda Platform Certificates upon completion of programme modules, and connect with Agents and Households through the Marketplace. Mdadda Platform Certificates are proprietary credentials issued by Mdadda reflecting completion of its internal programme curriculum.

3.2 The Platform enables users to interact, access educational resources, and participate in employment discovery opportunities i.e. helpers are able to access training, certification, and employment opportunities, households are able to discover and engage domestic workers and agents are able to facilitate placements and manage their Books of Business.

3.3 Mdadda's services may include, educational course content, certification examinations, profile hosting and discovery tools, communication channels between users and payment processing for certain services.

3.4 Mdadda may, from time to time, enhance, modify, or discontinue aspects of the Platform at its sole discretion.

4. Role of Mdadda

4.1 Mdadda operates solely as an independent technology intermediary and does not act as an employer, recruiter, or agent of any user.

4.2 Accordingly, Mdadda does not determine wages or compensation, supervise or direct the work of helpers, control working conditions or is responsible for employment decisions made by users.

4.3 Any contractual or employment relationship formed is strictly between Users, and Mdadda disclaims all responsibility arising from such relationships.

4.4 No employment, agency, or partnership relationship is created by virtue of subscribing to the platform and all user interactions are independent.

5. User Eligibility

5.1 Access to the Platform is limited to individuals who are at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements.

5.2 Users are required to provide accurate and complete information during registration and to maintain the integrity of such information throughout their use of the Platform.

5.3 Mdadda reserves the right to suspend or terminate accounts where users provide false or misleading information.

5.4 Mdadda may verify information and suspend accounts.

6. User Accounts

6.1 Users must create an account in order to access certain features of the Platform.

6.2 Users are responsible for maintaining the confidentiality of their account credentials, ensuring the accuracy of information submitted and to promptly update account information when necessary.

6.3 Users are responsible for all activities conducted through their accounts.

6.4 Mdadda reserves the right to suspend or terminate accounts where misuse, fraud, or breach of these Terms is suspected.

7. User Categories and Participation Terms

7.1 The Platform accommodates different categories of Users, each subject to specific participation conditions.

7.2 Helpers may create professional profiles and access training materials within the Academy, sit certification examinations, share certification credentials and participate in job matching opportunities.

7.3 Helpers acknowledge that completion of training or certification does not guarantee employment.

7.4 Households may browse helper profiles, sponsor training courses for helpers, post job opportunities and engage with agents to facilitate placement.

7.5 Households are solely responsible for determining the suitability of any helper they engage.

7.6 Agents may onboard helpers and households into the platform, maintain Books of Business, facilitate matching and placement processes and provide consultation services during the hiring process.

7.7 Agents shall be required to enter into a separate Agent Partnership Agreement governing their participation in the Platform.

8. Training, Certification and Academy Services

8.1 The Mdadda Academy provides structured training programs and certification pathways aimed at enhancing professional standards within the domestic services sector.

8.2 Training may include, instructional videos, coursework, assessments and examinations and certification badges and credentials.

8.3 Certification issued through the Platform reflects successful completion of designated coursework and examinations.

8.4 However, certification does not constitute a guarantee of skill level, employment, or job placement.

8.5 Mdadda reserves the right to issue, suspend, or revoke certifications; modify course content and update examination requirements.

9. Marketplace Interactions and Job Placement

9.1 The Platform facilitates discovery and engagement between Users.

9.2 The placement process may involve;

  • Job listing by household
  • Discovery of potential candidates
  • Consultation with agents
  • Mutual acceptance between helper and household.

9.3 A placement occurs only where both the Helper and Household independently agree to proceed.

9.4 Mdadda is not a party to such agreements and assumes no liability in connection therewith.

10. Fees, Payments and Commercial Terms

10.1 Access to certain features of the Platform may require payment of fees.

10.2 Such fees may include, but are not limited to course access fees, examination and certification fees, sponsorship payments, subscription fees, token purchases, transaction fees payable by households and signing or placement fees payable in connection with hiring.

10.3 All applicable fees will be disclosed prior to payment and are generally non-refundable unless expressly stated otherwise.

10.4 Payments are processed through third-party providers including mobile money and card payment systems.

10.5 Mdadda shall not be liable for payment failures.

11. Refund Policy

11.1 Refunds, where applicable, shall be governed by Mdadda's Refund Policy.

11.2 Without limiting the generality of the foregoing:

  • Fees paid for course access or examinations are nonrefundable once access is granted.
  • Transaction fees paid to initiate contact with an Agent are non-refundable.
  • Signing or placement fees may be subject to limited refund conditions where expressly provided.

11.3 Mdadda reserves the right to determine refund eligibility on a case-by-case basis, subject to applicable law.

12. User Obligations

12.1 Users agree to comply with all applicable laws and to refrain from engaging in unlawful, fraudulent, or abusive conduct.

12.2 Users agree not to;

  • Provide false information on the Platform.
  • Misuse personal data obtained through the Platform.
  • Harass or abuse other users.
  • Engage in fraudulent or deceptive conduct.
  • Circumvent Platform payment mechanisms.

12.3 Misuse may result in suspension or legal action.

13. Data Protection and Privacy

13.1 Mdadda processes personal data in accordance with applicable laws, including the Kenya Data Protection Act, 2019.

13.2 The Platform may collect and process the following categories of data;

  • identity and contact information
  • professional and employment related data
  • financial and payment information
  • location data
  • behavioural and usage data
  • images and verification documents.

13.3 By using the Platform, Users consent to the collection and processing of their personal data for purposes including:

  • account creation and management
  • service delivery and matching
  • payment processing
  • fraud prevention and security
  • platform improvement and analytics.

13.4 Users have the right to:

  • access their personal data
  • request correction of inaccurate data
  • request deletion of data subject to legal limitations
  • object to certain processing activities.

13.5 Further details are set out in the Privacy Policy, which forms part of these terms.

14. Intellectual Property

14.1 All intellectual property rights in and to the Platform are owned by or licensed to Mdadda.

14.2 These includes, but is not limited to:

  • software and platform architecture
  • course content and training materials
  • certification frameworks and badges
  • trademarks, logos, and branding
  • databases and algorithms.

14.3 Users are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purposes.

14.4 Users shall not:

  • copy, reproduce, or distribute platform content without authorisation
  • reverse engineer or attempt to extract source code
  • use Mdadda branding outside the Platform without consent.

14.5 Certificates issued through the Platform remain subject to Mdadda's intellectual property rights in their design, structure, and verification systems.

15. Third-Party Services and Integrations

15.1 The Platform may integrate with third-party services, including, payment processors, authentication providers and content hosting platforms.

15.2 Mdadda is not responsible for the performance, availability, or data practices of such third-party services.

15.3 Use of such services may be subject to separate terms and conditions.

16. Service Availability and Modifications

16.1 Mdadda aims to maintain reliable access to the Platform but does not guarantee uninterrupted service.

16.2 The Platform may be modified, updated, or temporarily unavailable due to maintenance, technical upgrades, system failures and/or security incidents.

16.3 Mdadda shall not be liable for temporary service interruptions.

17. Disclaimers

17.1 The Platform is provided on an "as is" and "as available" basis without warranties of any kind.

17.2 Mdadda disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.

18. Limitation of Liability

18.1 To the fullest extent permitted by law, Mdadda shall not be liable for any indirect, incidental, or consequential damages, loss of income, opportunity, or reputation, disputes between users and/or acts or omissions of users arising from the use of the platform.

18.2 Mdadda does not guarantee the accuracy of user profiles, the suitability or conduct of any user and/or successful job placement outcomes.

19. Indemnity

19.1 Users agree to indemnify and hold harmless Mdadda, its directors, employees, and affiliates from and against any claims, liabilities, damages, or expenses arising out of:

  • misuse of the Platform,
  • breach of these Terms,
  • violation of applicable laws, and
  • disputes with other users.

The indemnity obligations set out in this clause shall survive the termination or expiration of these Terms, howsoever arising, and shall continue to apply to any claims, demands, actions, liabilities, losses, damages, costs, and expenses (including legal fees) arising out of or in connection with the user's use of the platform, including any acts or omissions occurring prior to, at the time of, or following such termination to the extent related to such use.

20. Suspension and Termination

20.1 Mdadda reserves the right to suspend or terminate access to the Platform where:

  • a user breaches these terms
  • fraudulent or unlawful activity is suspected
  • there is misuse of platform data or services.

Users may terminate their accounts at any time, subject to any outstanding obligations.

20.2 Termination shall not affect accrued rights or obligations.

21. Force Majeure

21.1 Mdadda shall not be liable for failure or delay in performance due to events beyond its reasonable control, including acts of God, natural disasters, internet or infrastructure failures, regulatory actions and security breaches or cyber incidents.

22. Governing Law and Dispute Resolution

22.1 These Terms shall be governed by and construed in accordance with the laws of Kenya.

22.2 Any dispute, claim, or controversy arising out of or in connection with these terms, including any question regarding their existence, validity, interpretation, or termination shall be resolved:

  • In the first instance, through amicable negotiations; failing which,
  • The parties irrevocably submit to the exclusive jurisdiction of the courts of Kenya for the determination of any dispute.

23. Amendments

22.3 Mdadda reserves the right to modify these terms at any time.

22.4 Users will be notified of material changes where required by law.

22.5 Continued use of the Platform constitutes acceptance of the updated Terms.
